RESALE REGISTRATION TERMS


Once you have registered as a reseller of the White Label Service, managing the resale of the White Label Service is easy. Just follow the three-step Resale Process set forth below to enable a customer to start receiving the White Label Service.  Capitalized terms used but not defined in these Resale Registration Terms have the meanings given to them in the Terms and Conditions for Resellers of the Alert White Label Service viewable at www.microstrategy.com/awl-reseller-terms (the “Terms and Conditions”) and the Alert White Label Service - Reseller Registration Form submitted by you and accepted by us and referencing such Terms and Conditions.

Resale Process
 
Step 1: Application Registration
For each Proposed Prospect to which you would like us to make available the White Label Service, you will need to complete an Application Registration Form, the form of which is set forth at www.microstrategy.com/reseller-app-registration-form, and return it to the fax number or email address indicated in the Application Registration Form. If you submit an Application Registration Form and we approve it by sending you an email (an “Approval Email”) that indicates our approval of the Proposed Application, then the Proposed Prospect described in such Application Registration Form becomes an “Approved Prospect” for the White Label Service effective for the six (6) month period beginning as of the “Approval Date” set forth in the Approval Email.
 
Step 2: Customer/Application Registration
Provide the Approved Prospect an Alert White Label Service - Registration Form, the form of which is set forth at www.microstrategy.com/awl-registration-form-resales.  Such form must be properly completed and submitted to us within the applicable six (6) month period. 

Step 3: Application Activation
Once you are ready for us to start providing the White Label Service to an Approved Prospect, complete an “Activation Request Form – Alert White Label Service”, the form of which is set forth at www.microstrategy.com/reseller-service-activation-form-awl, and return it to the fax number or email address indicated in such form.  Submission of a properly completed Alert White Label Service - Registration Form and subsequent submission of an Activation Request Form – Alert White Label Service will be deemed an “Activation Request”. If we accept an Activation Request, we will send you an Acceptance Email that references this Agreement and notifies you that we have accepted such Activation Request.  The Approved Prospect that is the subject of the Activation Request becomes a “Customer” and the White Label Application is deemed an “Application” for purposes of the Agreement effective as of the Acceptance Date set forth in the Acceptance Email.  After the White Label Service has been activated for the Customer, we will send you an Activation Email notifying you of the activation.

Termination Process
 
For each White Label Application for which you wish to terminate the White Label Service, please send us notice of such termination to registration@alert.com or by fax to +1 (703) 842-8709.  We will provide you and the applicable Customer with confirmation of our receipt of such service termination notice to the email addresses or fax numbers provided in the applicable registration forms.
