Corporate SEC Counsel

Basic Function:  You’ll join a top-flight legal team in supporting a dynamic and wide range of securities, corporate governance and general corporate and commercial matters. This role requires intellectual rigor and drafting standards at the highest level, as you help a high-profile, enterprising company navigate its securities filings, board activities, director and officer compensation programs and strategic corporate initiatives. You should also have transactional experience to support financing, capital markets or M&A transactions that can be key to the company’s business vision and strategy. You are dedicated to getting the issues right, but also nimble in fashioning solutions.


Job Duties (includes but is not limited to):



  • Collaborate with other company departments in drafting and reviewing all securities filings, including proxy statement and Forms 10-K, 10-Q, 8-K, Section 16 filings
  • Advise on Board matters, develop corporate governance policies and implement legal controls to help ensure sound corporate governance practices
  • Prepare materials for consideration by the Board and its Committees
  • Advise on director and executive compensation arrangements, including procedures for determining and tracking such arrangements for disclosure
  • Advise on general corporate, transactional and commercial matters, including corporate aircraft, cross-border business planning, and the maintenance, establishment, acquisition or divestiture of US and foreign business divisions and subsidiaries
  • Work with the Finance, Treasury, Tax and Risk Management teams on banking and investment matters, intercompany agreements, tax planning, internal controls and litigation

Job Requirements:



  • J.D. from top tier law school followed by 5-10 years of experience with reputable law firm and/or in-house department
  • Significant experience with the Securities Act of 1933, the Securities Exchange Act of 1934 and the Sarbanes-Oxley Act
  • Superior interpersonal skills and judgment are paramount
  • Ability to manage fast-paced workload and add value to multiple projects simultaneously
  • Self-starter who shows project ownership and enjoys working across departments
